Giveaway Name: Silicon Labs BGM220 Explorer Kit Giveaway

1. Eligibility: The Silicon Labs BGM220 Explorer Kit Giveaway (the “Giveaway”) is open only to those who sign up on the Novel Bits Silicon Labs Dev Kit Giveaway (https://novelbits.io/silicon-labs-dev-kit-giveaway) webpage and who are at least 18 years old as of the date of his or her entry. The Giveaway is only open to legal residents of Austria, Belgium, Canada (excluding Quebec), Denmark, Finland, France, Germany, Iceland, Ireland, Israel, Netherlands, Norway, Scotland, Slovenia, Spain, Turkey, United Kingdom, and the United States of America United States including Washington D.C. and is void where prohibited by law.  Employees of Silicon Laboratories Inc. (“Silicon Labs”) or Novel Bits LLC (“Novel Bits”) or any of its affiliates, subsidiaries, and their immediate family members and/or those living in the same household are not eligible to participate in the Giveaway. The Giveaway is subject to all applicable federal, state and local laws and regulations. The Giveaway is void in all countries and states where such promotions are prohibited.
2. Agreement to Rules: By participating, you agree to be fully and unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Silicon Labs and Novel Bits as final and binding as it relates to the Giveaway.
3. Giveaway Period: Entries will be accepted online starting on or about September 29, 2023 and end on October 31, 2023 or once all kits have been given away, if earlier.
4. How to Enter: The Giveaway must be entered by submitting an entry using the online form provided on the Novel Bits Silicon Labs Dev Kit Giveaway webpage. The entry must fulfill all requirements, as specified, to be eligible to win a prize. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Silicon Labs. You may enter only once and you must fill in the information requested. You may not enter more times than indicated by using multiple email addresses, identities or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Silicon Labs.
5. Prizes & Odds of Winning: One hundred different entries will receive a Silicon Labs BGM220 Explorer Kit. No substitution will be made unless the Organizer, in its sole discretion, determines otherwise. Each prize will be awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). If you win a prize, you may not transfer, assign, or redeem the prize for cash. A kit must be accepted as awarded, and the odds of winning are dependent upon the total number of eligible entries received for the Giveaway Period. No winner is eligible to win more than one kit in the Giveaway. Acceptance of a prize constitutes permission for Silicon Labs to use the winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.
6. Winner selection and notification: One hundred (100) recipients of the BGM220 Explorer Kit will be selected on a first come first serve basis from all eligible entries received. All decisions of the Organizer in selecting the Winner (s) are final and binding on all Entrants in all matters relating to the Giveaway. Each Winner (or his/her parent/guardian if the Winner is a minor) is responsible for all taxes and fees associated with receipt of the kit. Silicon Labs shall have no liability for a winner’s failure to receive notices due to winners’ spam, junk e-mail or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information.
   The receipt of the prize offered in this Giveaway is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SILICON LABS’ SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE GIVEAWAY AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

7. Terms: Silicon Labs reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Giveaway should (in its sole discretion) a virus, bug, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Giveaway. In such case, Silicon Labs may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by Silicon Labs. Silicon Labs reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or website or violates these Rules of Entry. Silicon Labs has the right, in its sole discretion, to maintain the integrity of the Giveaway, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by these rules; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Giveaway may be a violation of law and should such an attempt be made, Silicon Labs reserves the right to seek damages from any such person to the fullest extent permitted by law.
   By entering the Giveaway you agree to receive email or other communications periodically from Silicon Labs. You understand and agree that this Giveaway is in no way sponsored, endorsed or administered by, or associated with, YouTube, and any comments, questions or concerns regarding the Giveaway shall be directed to the Giveaway Facilitators and not to YouTube.

8. Limitation of Liability: Silicon Labs and Novel Bits (are not responsible for human error, theft, destruction, or damage to Entries or other factors beyond its reasonable control. You assume all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected Entries. The Giveaway Facilitators make no warranty, representation or guarantee, express or implied, in connection with its ability to in any way enable, develop or market the idea set forth in your Entry.

   The Giveaway Facilitators shall not be liable to a Winner or any other person for failure to supply the Prize or any part thereof, by reason of the Prize becoming for reasons beyond the reasonable control of the Giveaway Facilitators unavailable or impracticable to award, or for any force majeure event, technical or equipment failure, terrorist acts, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similar or dissimilar beyond the Organizer’s control.

   By entering the Giveaway you agree to release and hold Silicon Labs, Novel Bits, and their subsidiaries, affiliates, representatives, agents, successors, assigns, employees, officers and directors harmless from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) your participation in the Giveaway and/or your acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Giveaway itself; (v) electronic or human error which may occur in the administration of the Giveaway or the processing of entries. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE SITE AND ANY CONTEST SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE SUCH LIMITATION OR EXCLUSION SHALL APPLY ONLY TO THE EXTENT PERMITTED BY THE LAW IN THE RELEVANT JURISDICTION.

9. Disputes: These T&Cs shall be governed by and construed in accordance with the laws of the state of Texas, and the laws of the United States, as applicable herein, without reference to its conflicts of laws principles. Any dispute, controversy or claim arising out of or relating to this contract, including the formation, interpretation, breach or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by arbitration in accordance with the JAMS International Arbitration T&Cs. The Tribunal will consist of three arbitrators. The place of arbitration will be Austin, Texas. The language to be used in the arbitral proceedings will be English. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. All claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Giveaway, but in no event attorneys’ fees. You hereby waive all rights to: (i) claim or be awarded any punitive, direct, indirect, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses; and (ii) to have damages multiplied or otherwise increased. All parties agree to waive their right to trial by jury.
10. Privacy Policy:  By entering the Giveaway, you represent and warrant that you have read, understood, accept and agree to be bound by the Privacy Notice set out athttp://www.silabs.com/about-us/legal/privacy-notice, as it may be amended from time to time.
